An Aegis Acquisition Companies Proprietary Software Platform

Effective
December 1, 2026

01Acceptance of Terms, Corporate Relationship, and Account Registration

1.1Acceptance of Terms & Umbrella Relationship#

By accessing, registering for, subscribing to, or using the VisionSync software application, platform, video streaming infrastructure, APIs, and associated tools across any corresponding websites, web applications, customer portals, or interfaces (collectively referred to as “VisionSync,” the “Service,” or the “Platform”), you (“Customer,” “User,” or “you”) agree to be legally bound by these Terms of Service (“Terms”). VisionSync is a proprietary commercial software platform developed, owned, hosted, and operated by Aegis Acquisition Companies (“Aegis,” “Company,” “we,” “us,” or “our”). If you do not agree to all of these Terms, you are strictly prohibited from using the Service and must discontinue access immediately.

1.2Hierarchy, Harmonization, and Order of Precedence#

VisionSync operates as an integral component of the broader Aegis Acquisition Companies software suite. If you access or purchase VisionSync through the central Aegis hosting portal, your relationship is governed concurrently by the overarching Aegis Acquisition Companies Master Terms of Service and these product-specific VisionSync Terms of Service. Both agreements are legally binding, mutually reinforcing, and enforceable. In the event of any irreconcilable conflict between the two agreements:

  • (a)
    The Aegis Acquisition Companies Master Terms of Service shall govern and control with respect to master identity authentication, Single Sign-On (SSO) architecture, global payment gateway processing, merchant-level transaction settlement, cross-platform security, and corporate entity matters.
  • (b)
    These VisionSync Terms of Service shall govern and control with respect to software-specific functionality, “Simulive” and evergreen webinar broadcasting, video streaming delivery, automated AI co-host interactions (Emily and Crispin), attendee communication management, and video intellectual property protections.

In all other respects, these Terms and the Aegis Master Terms shall be interpreted harmoniously to provide the maximum legal protection to Aegis and VisionSync.

1.3Business Use and Authority#

The Service is a commercial, business-to-business (B2B) sales enablement and automated webinar platform. It is strictly not intended for personal, family, household, or consumer use. By creating an account or subscribing to the Service, you represent and warrant that: (a) you are at least 18 years of age (or the legal age of majority in your jurisdiction); (b) you are acting exclusively on behalf of a legitimate, validly existing commercial business, corporation, or legal entity; and (c) you possess full legal power and corporate authority to bind your organization to these Terms.

1.4Account Registration and Isolated Passwords#

To access VisionSync, you must register for an account via the Service’s registration interfaces or authenticate through the Aegis Central Portal. You agree to provide true, accurate, current, and complete information during registration. Pursuant to our Credential Isolation Architecture, your account may utilize an Aegis Universal Username (email) across the ecosystem, but you are required to generate and maintain a distinct, isolated password specifically for your VisionSync workspace. You are strictly and solely responsible for maintaining the absolute confidentiality of your VisionSync credentials, passwords, and access keys.

1.5Account Security and Operational Liability#

You accept full financial, civil, and legal responsibility for all activities, automated webinar broadcasts, chat operations, AI interactions, follow-up communications, and subscription charges that occur under your account, regardless of whether such activity was authorized by you, except to the extent caused solely by a proven internal security breach of VisionSync’s core server infrastructure. You must notify our security team immediately at support@visionsyncapp.com of any suspected unauthorized access or breach of security. Neither VisionSync nor Aegis shall be liable for any data loss, financial damage, or business disruption resulting from your failure to safeguard your credentials.

1.6Right to Monitor & Audit#

VisionSync and Aegis reserve the right, but assume no ongoing obligation, to monitor account activity, broadcast content, attendee volume, bandwidth consumption, and system interactions to ensure compliance with these Terms, protect the integrity of our streaming infrastructure, prevent fraudulent commercial practices, and verify regulatory adherence.

1.7Nature of the Service (Autonomous Software-as-a-Service)#

VisionSync provides software-as-a-service (SaaS): automated webinar hosting infrastructure, “Simulive” (simulated live) presentation engines, evergreen playback systems, real-time interactive chat modules, AI conversational agent integrations, and CRM pipeline hand-offs that you, the Customer, configure and operate on your own audience, marketing assets, and data. VisionSync is a software provider only. We do not generate, broker, supply, rent, or sell webinar attendees, buyer leads, consumer audiences, or contact databases. All video files, slide decks, presentation audio, registration lists, and attendee records processed through the Service are uploaded, controlled, and deployed exclusively by you.

02Acceptable Use, Media Content, and Regulatory Compliance

2.1Zero-Tolerance Policy for Fraud and Abuse#

VisionSync operates under a strict, zero-tolerance policy regarding fraudulent commercial schemes, deceptive presentations, spam, and regulatory violations. If we determine, in our sole and absolute discretion, that your account is being used to broadcast fraudulent promotions, distribute unlawful content, or violate any communication or privacy laws, your account and all active broadcasts will be immediately and permanently terminated. In the event of such termination for cause, you forfeit all remaining subscription time and prepaid fees, and absolutely no refunds will be issued.

2.2Truth in Advertising, FTC Compliance, and Earnings Disclaimers#

Webinars and automated presentations deployed via VisionSync frequently involve high-stakes commercial offers, training programs, financial products, and business opportunity sales. You explicitly represent, warrant, and covenant that:

  • (a)
    All presentations, marketing claims, video scripts, case studies, client testimonials, and pricing representations broadcast through VisionSync strictly comply with all Federal Trade Commission (FTC) guidelines, including 16 C.F.R. Part 255 (Guides Concerning the Use of Endorsements and Testimonials in Advertising) and the FTC Act (15 U.S.C. § 45).
  • (b)
    You possess verifiable, documentary substantiation for every factual, income, revenue, ROI, or performance claim presented within your webinar or automated chat.
  • (c)
    You will not utilize deceptive scarcity mechanisms (e.g., fraudulent countdown timers claiming an offer expires in 10 minutes when it is perpetually evergreen, or false claims regarding limited seating capacity) that violate state or federal consumer protection statutes.
  • (d)
    You will display all legally required disclaimers (including typical result disclaimers, financial disclosures, and licensing notifications) prominently within your registration pages and presentation materials.

2.3Synthetic Media, AI Voice Overdubs, and Bot Disclosures#

VisionSync incorporates advanced autonomous conversational AI co-hosts (including Emily and Crispin), dynamic video branching, and synthetic AI voice overdubs. You acknowledge and agree that:

  • (a)
    You are solely responsible for how you configure, direct, and deploy AI co-hosts and voice overdubbing within your webinars.
  • (b)
    You must strictly comply with all federal, state, and international synthetic media, automated agent disclosure, and bot-impersonation statutes, including but not limited to California’s Bolstering Online Transparency (BOT) Act (Cal. Bus. & Prof. Code § 17940 et seq.), the EU AI Act, and state synthetic likeness laws.
  • (c)
    Where required by applicable law, you must provide clear and conspicuous disclosures to attendees that automated AI conversational agents (such as Emily or Crispin) are operating as artificial assistants rather than live human moderators.
  • (d)
    You will not use AI voice cloning or overdubbing to impersonate any individual, celebrity, public figure, or third party without their express, legally valid written consent.

2.4Attendee Consent & Outbound Outreach Compliance#

The Service allows automated event reminders, post-webinar follow-ups, and pipeline triggers across email, SMS, and AI telephony. When utilizing these communication features, you are solely responsible for ensuring that all messages comply with:

  • (a)
    The Telephone Consumer Protection Act (47 U.S.C. § 227) (“TCPA”) and FCC regulations;
  • (b)
    The CAN-SPAM Act of 2003 (15 U.S.C. § 7701 et seq.);
  • (c)
    The Telemarketing Sales Rule (16 C.F.R. Part 310) (“TSR”) and Do-Not-Call (DNC) Registry rules;
  • (d)
    Mobile Network Operator (Carrier) Standards & CTIA Guidelines, including A2P 10DLC registration mandates.

You explicitly represent and warrant that you possess and will maintain verifiable records of prior express written consent from every registrant and attendee before sending any automated text message, telephone call, or commercial email.

2.5Data Privacy Compliance (GDPR/CCPA)#

You are solely responsible for the legality, collection methods, and authorization of the registrant, attendee, and consumer data processed through VisionSync. In relation to all attendee data collected via your webinars:

  • (a)
    You act exclusively as the “Business” or “Data Controller.”
  • (b)
    VisionSync and Aegis act solely as a “Service Provider” or “Data Processor,” processing data on your behalf to host the webinar and deliver analytics.
  • (c)
    You agree to comply with the California Consumer Privacy Act, as amended by the California Privacy Rights Act (CCPA/CPRA), the General Data Protection Regulation (GDPR), and all applicable privacy laws. You must provide a clear privacy policy on your registration pages, honor all opt-out and data deletion requests immediately, and ensure attendees consent to any recording or chat logging.

2.6Prohibited Content & Network Abuse#

You agree not to broadcast, upload, or transmit any content that: (a) infringes any third party’s copyright, trademark, patent, or proprietary rights; (b) contains malware, spyware, worms, or malicious software; (c) displays explicit adult content, pornography, hate speech, defamation, or violence; (d) promotes unauthorized multi-level marketing (MLM), pyramid schemes, or illegal activities; or (e) attempts to overload, crash, or flood VisionSync’s streaming servers, WebSockets, or Content Delivery Networks (CDNs).

2.7Absolute Regulatory and Third-Party Indemnification#

You agree to fully indemnify, defend, and hold harmless VisionSync, Aegis Acquisition Companies, their parent companies, subsidiaries, affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, lawsuits, investigations, liabilities, losses, damages, fines, civil penalties, settlements, and expenses (including reasonable attorney’s fees and litigation costs) arising out of or related to:

  • (a)
    Your use of the Service or deployment of webinars;
  • (b)
    Any claims or representations made within your presentations or automated chats (including FTC enforcement actions or consumer fraud lawsuits);
  • (c)
    Your violation of synthetic media, AI disclosure, or privacy laws (including the California BOT Act, CCPA, or GDPR);
  • (d)
    Your violation of telemarketing or messaging laws (including TCPA or CAN-SPAM);
  • (e)
    Any copyright or intellectual property infringement arising from Customer Media Content; or
  • (f)
    Any breach by you of these Terms.

2.8Carrier Fines, Penalties and Messaging Fees#

Mobile carriers, The Campaign Registry and messaging providers may assess fines, penalties, chargebacks or pass-through fees when messages sent from your account violate carrier rules, CTIA guidelines, A2P 10DLC or toll-free requirements, or applicable law, including sending without consent or sending prohibited content. You are solely responsible for every such fine, penalty and fee arising from messages sent from or on behalf of your account. VisionSync, Aegis Acquisition Companies and their affiliates are not responsible for them. You authorize VisionSync to charge any such amount, when assessed, to your payment method on file or to deduct it from your wallet balance. These amounts are non-refundable. This Section is in addition to your obligations under Section 2.7.

03Intellectual Property, Media Assets, and Confidentiality

3.1Ownership of Platform Intellectual Property#

Aegis Acquisition Companies retains 100% exclusive right, title, and interest in and to the VisionSync Service, including but not limited to all software, user interfaces, visual designs, systems, architecture blueprints, proprietary HLS video streaming protocols, signed URL generators, dynamic video branching algorithms, AI chat state machines, Emily and Crispin agent models, prompts, weights, logos, and patents. These Terms grant you no ownership rights whatsoever. You are granted solely a limited, non-exclusive, non-transferable, and fully revocable license to access and use the Service strictly during your active paid subscription.

3.2Customer Media & Video Asset Ownership#

You retain 100% exclusive ownership over the raw video files, masterclasses, recorded presentations, audio files, slide decks, logos, and marketing copy that you upload to the Service (“Customer Media Content”). For the avoidance of doubt, your uploaded media and raw attendee contact records are the only assets owned by you within the ecosystem. By uploading Customer Media Content, you grant VisionSync and Aegis a worldwide, royalty-free, non-exclusive license to transcode, encode, host, store, cache, and stream your content solely for the purpose of operating, delivering, and securing your webinars.

3.3Video Stream Security and Anti-Piracy Protections#

VisionSync employs proprietary HTTP Live Streaming (HLS) encryption, dynamic key exchanges, and time-limited signed URLs to safeguard your presentations against unauthorized downloading and screen-scraping. You agree that you will not, and will not permit any third party to:

  • (a)
    Bypass, decrypt, disable, or tamper with VisionSync’s HLS video stream encryption;
  • (b)
    Utilize automated scrapers, stream rippers, headless browsers, or download tools to extract raw video files from the Platform;
  • (c)
    Reverse-engineer, decompile, or disassemble any aspect of VisionSync’s player architecture, application logic, or backend endpoints.

3.4Ownership of Custom Workflows, Branching Logic, and Configurations#

Any custom webinar funnels, conditional branching pathways, interactive polling structures, automated decision trees, or CRM integration configurations you set up natively within the Service become the structural intellectual property of Aegis. Upon termination of your account, you are entitled strictly to export your raw attendee contact records pursuant to Section 6.2; you have no right to export, duplicate, or claim ownership over the platform workflows, AI decision trees, or player configurations built within VisionSync.

3.5Feedback and Suggestions#

Any feedback, suggestions, feature recommendations, or technical enhancements submitted by you to VisionSync or Aegis (“Feedback”) shall become the sole property of Aegis. We may freely use, implement, commercialize, and exploit such Feedback without any compensation, royalty, or attribution to you.

3.6Data Security and Breach Limitations#

VisionSync utilizes enterprise-grade cloud architecture, encrypted databases, and secure edge networks. However, no internet infrastructure is entirely invulnerable. You acknowledge and agree that VisionSync and Aegis shall not be held liable for unauthorized access, data loss, or system disruptions resulting from sophisticated third-party cyberattacks, distributed denial-of-service (DDoS) events, or your failure to protect your login credentials.

04Billing, Subscriptions, and Cancellation Policy

4.1Subscription Architecture & Recurring Billing#

All billing for VisionSync is administered through Aegis Acquisition Companies utilizing our authorized third-party payment processor and secure vault gateway. By subscribing, you authorize Aegis to securely tokenize your payment method (Credit/Debit/ACH) and automatically charge recurring subscription fees on your designated billing schedule (monthly or annually). Your subscription will renew automatically for successive periods of equal duration unless canceled pursuant to Section 4.4.

4.2Setup and Provisioning Fees#

Any setup, custom implementation, or onboarding fees billed at account initiation are strictly non-refundable. These fees cover immediate, unrecoverable server provisioning, dedicated streaming container deployment, and technical onboarding resources incurred the moment your account is created.

4.3Tiering, Attendee Limits, and Bandwidth Overages#

VisionSync subscriptions are tiered based on active features, concurrent attendee capacity, and streaming bandwidth:

  • (a)
    If your automated webinar exceeds your tier’s maximum concurrent attendee limit, additional attendees may be queued or required to attend a subsequent session.
  • (b)
    Bandwidth and streaming allocations are designed for standard high-volume commercial use. Accounts generating excessive, continuous compute or bandwidth drain outside normal commercial parameters may be required to upgrade to a dedicated infrastructure tier.

4.4Cancellation Policy#

You may cancel your subscription at any time directly through your billing dashboard or by submitting a written notice to team@aegisacquisitioncompanies.com. To prevent renewal charges for the upcoming cycle, your cancellation request must be submitted at least twenty-four (24) hours prior to your scheduled renewal date.

4.5Access After Cancellation#

Upon submitting a timely cancellation, your account will remain active with full access to the Platform and your Customer Media Content until the end of your currently paid billing period. Following the conclusion of that period, account access will be terminated, subject to the 14-day data export grace period set forth in Section 6.2.

4.6Strict No-Refund Policy#

All sales and subscription transactions are final. VisionSync and Aegis do not provide refunds, partial refunds, or prorated credits for any past, current, or partial billing cycles. If you fail to cancel at least 24 hours prior to your renewal date, the recurring charge will process, and no refund will be issued. Furthermore, no refunds or fee reductions will be granted for periods in which you did not actively broadcast webinars or log into the Service.

4.7Billing Inquiries & Chargeback Prohibition#

If you have any questions or dispute regarding a charge, you agree to contact our billing team at team@aegisacquisitioncompanies.com to achieve an amicable resolution before initiating a chargeback dispute with your financial institution. Initiating a fraudulent, unsubstantiated, or improper chargeback constitutes a material breach of these Terms, resulting in immediate account termination, forfeiture of all data, and permanent blacklisting across the entire Aegis Acquisition Companies ecosystem.

05Disclaimers, Performance Disclaimers, and Limitation of Liability

5.1“As-Is” and “As-Available” Disclaimer#

The VisionSync Service (including all video streaming players, HLS delivery infrastructure, AI co-host engines, and chat systems) is provided strictly on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted under applicable law, VisionSync and Aegis expressly disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will operate without interruption, that video streams will be completely buffer-free, or that the software will be free from bugs or vulnerabilities.

5.2No Guarantee of Sales, Conversions, or Turnout#

You acknowledge that VisionSync is an automated software tool, not a marketing agency or financial guarantor. We make no representations, warranties, or guarantees regarding:

  • (a)
    The attendance rate, show-up percentage, or engagement levels of your registered attendees;
  • (b)
    The conversion rates, sales volume, or financial return generated from your webinars;
  • (c)
    The success or profitability of any offer, product, or service pitched using the Platform.

5.3Streaming Latency, CDN Infrastructure, and Internet Latency#

Video delivery across the internet involves complex third-party infrastructure. VisionSync utilizes tier-1 Content Delivery Networks (CDNs) and cloud edge servers. However, you acknowledge that video quality, buffering, and latency are fundamentally dependent upon external factors beyond our control, including attendee local internet speeds, browser configurations, corporate firewall restrictions, and regional CDN node outages. VisionSync and Aegis bear no liability for stream buffering, drop-offs, or audio desynchronization experienced by individual attendees.

5.4Exclusion of Consequential Damages (The “Live Event” Downtime Clause)#

Under no circumstances shall VisionSync, Aegis Acquisition Companies, their officers, directors, employees, affiliates, or licensors be liable to you or any third party for any indirect, incidental, special, consequential, punitive, or exemplary damages. This includes, without limitation, damages for lost revenue, lost profits, lost sales opportunities, lost pipeline value, business interruption, or loss of goodwill, even if VisionSync or Aegis has been advised of the possibility of such damages. This exclusion applies forcefully and unconditionally to any service interruption, stream disruption, or technical outage occurring during a critical marketing campaign or scheduled webinar event.

5.5Maximum Aggregate Liability Cap#

In the event that VisionSync or Aegis is found legally liable for any direct damages arising out of or related to these Terms or your use of the Service, our total, aggregate liability across all claims shall be strictly capped and limited to the total amount actually paid by you to Aegis for the VisionSync Service during the three (3) months immediately preceding the event giving rise to liability.

Statutory Carve-Out: Nothing in this Section 5 shall exclude or limit liability that cannot be lawfully excluded under applicable state or federal law, such as liability resulting from proven gross negligence, intentional fraud, or willful misconduct by Aegis.

5.6Third-Party Integrations and External API Failures#

The Service interacts with third-party software, APIs, and telecom gateways (e.g., payment processors, messaging gateways, generative AI model APIs, calendar services, and video platforms). VisionSync and Aegis hold zero responsibility or liability for third-party API changes, downtime, rate limiting, token revocations, or policy changes enacted by external providers that impact your automated workflows.

06Termination, Governing Law, and Mandatory Dispute Resolution

6.1Account Termination#

  • (a)
    For Convenience: You may terminate your subscription at any time by canceling through your billing dashboard or via email notice to team@aegisacquisitioncompanies.com pursuant to Section 4.4. Aegis and VisionSync may terminate your subscription for convenience upon thirty (30) days’ advance written notice.
  • (b)
    For Cause: VisionSync and Aegis reserve the right, in their sole and absolute discretion, to suspend, disable, or permanently terminate your account and revoke access immediately without prior notice if you breach these Terms (including spam violations, regulatory infractions, fraudulent sales claims, copyright infringement, or billing defaults). Upon termination for cause, all prepaid fees are forfeited.
  • (c)
    Partial Restriction: VisionSync may switch off messaging features such as texting, or place your account on notice, while other services continue. Fees remain payable during any partial restriction.

6.2Effect of Termination & Data Export Grace Period#

Upon termination of your account, your right to access and use VisionSync immediately terminates. You shall have a strict grace period of fourteen (14) calendar days following the effective date of termination to submit a written request to support@visionsyncapp.com to export your raw attendee contact records and chat transcripts in standard CSV format. Following the expiration of this 14-day grace period, VisionSync reserves the right to permanently delete all Customer Media Content, video assets, attendee records, and system configurations from active servers without liability.

6.3Governing Law and Venue#

These Terms of Service, and any claim, controversy, or dispute arising out of or related to VisionSync or Aegis, shall be governed by, interpreted, and enforced strictly in accordance with the substantive laws of the State of Illinois, without giving effect to any conflict of law principles that would result in the application of the laws of any other jurisdiction. Subject to the mandatory arbitration provision in Section 6.4, you expressly agree that exclusive personal jurisdiction and venue for any permitted judicial proceeding shall lie within the state and federal courts located in Will County, Illinois.

6.4Mandatory Binding Individual Arbitration and Class Action Waiver#

  • (a)
    Agreement to Arbitrate: Except for disputes qualifying for small claims court or claims seeking emergency injunctive relief regarding intellectual property infringement, YOU AND AEGIS/VISIONSYNC AGREE THAT ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) UNDER ITS COMMERCIAL ARBITRATION RULES. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration provision.
  • (b)
    Arbitration Location & Procedure: The arbitration shall be conducted by a single neutral arbitrator in Will County, Illinois, or remotely via videoconference upon mutual written agreement. Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction.
  • (c)
    CLASS ACTION WAIVER: WHERE PERMITTED UNDER APPLICABLE LAW, YOU AND AEGIS/VISIONSYNC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF, REPRESENTATIVE, OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
  • (d)
    JURY TRIAL WAIVER: THE PARTIES EXPRESSLY, VOLUNTARILY, AND KNOWINGLY WAIVE ANY CONSTITUTIONAL OR STATUTORY RIGHT TO A TRIAL BY JURY.

6.5Severability, Entire Agreement, and Official Contact Channels#

  • (a)
    Severability: If any provision of these Terms is determined by an arbitrator or court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, and all remaining provisions shall continue in full force and effect.
  • (b)
    Entire Agreement: These Terms, together with the Aegis Acquisition Companies Master Terms of Service, constitute the entire, integrated agreement between you and Aegis regarding VisionSync, superseding all prior oral or written agreements, pitches, or understandings.
  • (c)
    Designated Contact Channels:

6.6Modifications and Updates to Terms#

VisionSync and Aegis reserve the right to amend or update these Terms to reflect operational, technological, or legal developments. If material modifications are enacted, we will provide at least thirty (30) days’ advance notice prior to the effective date by posting an announcement in the dashboard or transmitting an email to the address associated with your account. Your continued use of the Service following the effective date constitutes your affirmative acceptance of the revised Terms.

Acknowledgment and Agreement
